ARCpoint Board Reviews Strategic Recommendations After Interim CEO Peter Kendall Steps Down

ARCpoint Inc. has announced that Peter Kendall has stepped down from his role as Interim Chief Executive Officer after completing the responsibilities assigned to him by the Company's Board of Directors. His departure follows the completion of his mandate, during which he conducted a comprehensive review of the business and presented his findings and strategic recommendations to the Board for consideration.


Mr. Kendall was appointed Interim Chief Executive Officer on 9 June 2026 for an initial 90-day term. During this period, he worked closely with the Board and the management team to evaluate ARCpoint’s overall business model, the capabilities of its MyARCpointLabs (MAPL) technology platform, existing commercial partnerships, corporate assets, and long-term strategic direction. His role also involved identifying potential commercial and financial opportunities to support the Company's future growth and sustainability.


Following the completion of this review, Mr. Kendall submitted his recommendations to the Board, which is now evaluating them as it determines the Company's next strategic and operational priorities. ARCpoint stated that these recommendations will help guide its future direction and decision-making process.


The Board of Directors expressed its appreciation for Mr. Kendall's leadership and contributions during his tenure as Interim Chief Executive Officer. The Company also confirmed that it has begun the process of identifying and appointing a permanent Chief Executive Officer and intends to fill the position as soon as practically possible.


In addition to announcing the leadership transition, ARCpoint provided an update regarding the restricted share units (RSUs) previously granted to Mr. Kendall. As disclosed on 9 June 2026, the Company had agreed to award him 4,000,000 RSUs as part of his compensation package for the planned 90-day engagement. However, because his term concluded before the full period was completed, the grant has been adjusted on a pro-rata basis. As a result, the total number of RSUs has been reduced from 4,000,000 to 2,000,000.


Each restricted share unit entitles Mr. Kendall to receive one Class A Subordinate Voting Share of ARCpoint once the award vests. The vesting date is scheduled for 12 months after 9 June 2026, subject to the terms of the Company's compensation plan and all applicable regulatory requirements.


The RSU award has been made under ARCpoint's omnibus security-based compensation plan and remains subject to approval by the TSX Venture Exchange (TSXV). The grant must also comply with the available capacity under the compensation plan, participant limits, TSXV Policy 4.4, applicable securities legislation, and, where required, approval from disinterested shareholders.


Although Mr. Kendall has stepped down from the Chief Executive Officer position, ARCpoint confirmed that he will continue to support the Company in an advisory consulting capacity. His ongoing engagement will allow him to remain eligible under the Company's compensation plan until the RSUs vest, while also enabling the Company to benefit from his strategic advice as it evaluates its future business direction and leadership plans.
