MIMEDX Announces $350 Million Acquisition Of Sanara MedTech To Expand Surgical Portfolio

MIMEDX Group and Sanara MedTech have entered into a definitive merger agreement under which MIMEDX will acquire all outstanding shares of Sanara in a cash-and-stock transaction valued at $35 per share. The deal has a total enterprise value of approximately $350 million and is expected to strengthen MIMEDX's position in the rapidly growing surgical regenerative medicine market.


Sanara MedTech focuses exclusively on developing and commercialising regenerative products for surgical applications. The company has built a strong presence in the surgical market through consistent double-digit revenue growth and a portfolio of innovative technologies serving several high-growth medical specialties. The acquisition will combine MIMEDX's established surgical product portfolio with Sanara's technologies in collagen particulate, wound irrigation, bone fixation, and other soft tissue and musculoskeletal solutions.


The combined portfolio will include Sanara's flagship products, such as CellerateRX® Surgical Powder and BIASURGE® Advanced Surgical Solution, along with several regenerative products currently in development. Among these is OsStic™ BioAdhesive Advanced Bone Fixation, which has received the U.S. Food and Drug Administration's Breakthrough Device designation and is targeted for commercial launch in 2027. The companies believe the merger will broaden their product offerings and expand their reach across multiple surgical specialties.


Commenting on the transaction, Joseph H. Capper, Chief Executive Officer of MIMEDX, said the acquisition represents an important step in accelerating the company's growth strategy. He noted that MIMEDX has delivered strong double-digit growth in its surgical business over the past several years and believes that combining with Sanara will further expand its presence in key surgical markets. Capper added that the combined company is expected to generate total revenue of well over $400 million in 2027, with an adjusted EBITDA margin exceeding 20%.


Seth Yon, President and Chief Executive Officer of Sanara MedTech, said the merger brings together two organisations with complementary strengths, experienced teams, and a shared focus on innovation in surgical care. He explained that combining Sanara's specialised technologies with MIMEDX's broader product portfolio and commercial capabilities will strengthen existing distributor relationships while expanding the company's presence in operating rooms. Yon also noted that Sanara's Board of Directors determined the transaction provides shareholders with an attractive cash premium while allowing them to participate in the future growth potential of the combined business.


Once completed, the acquisition is expected to create a stronger regenerative medicine company with an expanded commercial footprint, a broader portfolio of surgical products, and increased opportunities for long-term growth. By bringing together their complementary technologies and expertise, MIMEDX and Sanara aim to enhance innovation and deliver advanced regenerative solutions to surgeons and patients across a wider range of surgical applications.
