NexTel Medical Expands Acquisition To Include Island 40 Group In $12.75 Million Deal

NexTel Medical Corp., a clinical-stage biotechnology company developing proprietary exosome-based drug delivery technologies, has announced an amendment to its previously disclosed acquisition of JumpstartRx and NuevistraMed. Under the revised agreement, NexTel will now acquire Island 40 Group, the parent company of both businesses, along with its entire portfolio of subsidiaries and operating platforms.


According to the Company, the expanded transaction significantly increases the scope of the original acquisition by adding a broader range of healthcare, wellness, pharmaceutical, institutional, and revenue-generating businesses. NexTel believes the acquisition will strengthen its commercial capabilities and accelerate growth across multiple high-potential markets by combining healthcare services with established business and distribution networks.


Island 40 Group operates as a relationship-focused growth platform that connects capital, strategic partnerships, market access, and targeted distribution channels to generate revenue opportunities. Through its network of subsidiaries, the company serves a wide range of sectors, including healthcare, sports organizations, hospitals and health systems, employee wellness programs, colleges and universities, employer groups, racing organizations, and other large institutional markets.


Following the acquisition, NexTel expects to significantly expand its portfolio of healthcare services by offering laboratory testing, pharmaceutical services, personalized wellness programs, provider support solutions, direct-to-consumer healthcare platforms, institutional revenue programs, and additional clinical access opportunities. These services will be available through NexTel's existing network of patients and healthcare providers while also benefiting from Island 40 Group's broader commercial reach. According to the Company, Island 40 Group currently supports more than 300,000 patients each month through its platform and affiliated channels.


Under the terms of the amended agreement, NexTel Medical will acquire Island 40 Group and its complete portfolio for a total purchase price of $12.75 million. The transaction includes $3.5 million in cash and $9.25 million in preferred stock.


Commenting on the transaction, Casey Barksdale, Founder of Island 40 Group, said the revised structure provides greater long-term value by bringing the entire platform together under a single corporate framework rather than separating businesses that are designed to work together. He explained that Island 40 Group has been built around strategic relationships, market access, and revenue generation, while NexTel contributes a public company platform, scientific pipeline, and broader healthcare commercialization capabilities. He added that combining these strengths is expected to accelerate growth across healthcare services, pharmaceutical distribution, laboratory testing, wellness programs, and institutional partnerships while creating additional value for patients, healthcare providers, and shareholders.


Island 40 Group's portfolio includes several operating businesses. These include JumpstartRx, a direct-to-consumer health and wellness platform; NuevistraMed, which provides pharmaceutical distribution and clinic support services for licensed medical professionals; Mascot Alliance, a partnership and revenue-generation platform serving colleges, universities, employers, healthcare organizations, and sports properties; ParkedIt Alliance, a business development platform focused on the motorsports industry; Parked It Health, a wellness and benefits platform supporting drivers, racing teams, fans, and their families; and VLO Flow Energy, an energy beverage brand developed around paraxanthine-based ingredients.


Matt Dwyer, President of NexTel Medical Corp., said the amended acquisition is better aligned with the Company's long-term commercial strategy. He noted that, in addition to expanding NexTel's healthcare and pharmaceutical operations, the transaction provides access to a broader relationship network capable of supporting new product launches, increasing market access, and creating diversified revenue opportunities across healthcare, wellness, institutional partnerships, and consumer-focused businesses.


The Company also announced that Casey Barksdale will provide an overview of Island 40 Group's operations during an interview on Buffalo Fireside Chats, scheduled for Monday, July 27, 2026, at 4:00 p.m. EST. During the presentation, he is expected to discuss the platform's progress, business strategy, and operational structure.


The revised acquisition has not yet been completed and remains subject to customary closing conditions, including the completion of financial reviews, required documentation, due diligence procedures, and other standard regulatory and transactional requirements.
