Theratechnologies Acquired By Future Pak Affiliate In US$3.01 Per Share Deal With CVRs Up To US$1.19
Theratechnologies acquired by CB Biotechnology for $3.01/share plus milestone-linked CVRs; delisting from Nasdaq & TSX imminent.


Theratechnologies Inc., a commercial-stage biopharmaceutical company, announced the successful completion of its previously announced acquisition agreement. Under the arrangement, CB Biotechnology, LLC, an affiliate of Future Pak, LLC, has acquired all outstanding common shares of Theratechnologies for US$3.01 per share in cash, plus one contingent value right (CVR) per share. Each CVR may entitle holders to additional payments of up to US$1.19 per share, contingent upon the achievement of future milestones.
The purchaser has transferred the consideration to Computershare Investor Services Inc., acting as depositary. Payments to former shareholders will be processed promptly, subject to the submission of required documents in the case of registered shareholders. Each CVR will be tracked in a register maintained by Computershare Trust Company of Canada, without issuance of physical certificates. Based on an independent third-party valuation, the fair market value of each CVR was determined to be US$0.80 as of September 24, 2025.
Following completion of the transaction, Theratechnologies’ shares are expected to be delisted from the Nasdaq Capital Market on September 25, 2025, and from the Toronto Stock Exchange on September 26, 2025. The company also intends to apply to cease reporting under Canadian securities laws and deregister its shares under the U.S. Securities Exchange Act of 1934.
