PTC Acquires Sangamo’s Fabry Gene Therapy for $111M
PTC Therapeutics wins Sangamo's BLA-stage AAV Fabry gene therapy ST-920 for $111M in a Delaware bankruptcy auction, with accelerated approval pathway intact.


Absorbing a Biologics License Application-stage AAV gene therapy mid-bankruptcy carries immediate CMC and quality system obligations, and PTC Therapeutics is now positioned to navigate exactly that after winning isaralgagene civaparvovec (ST-920) from Sangamo Therapeutics in a court-supervised Section 363 auction for $111 million in cash at closing.
The deal structure adds up to $100 million in contingent milestone payments: $80 million tied to accelerated approval and $20 million upon full or traditional approval. PTC outbid stalking horse Astellas and backup bidder TerSera Therapeutics across a two-day competitive process. Final sale approval requires sign-off from the U.S. Bankruptcy Court for the District of Delaware, with hearings expected in Q3 2026, alongside Hart-Scott-Rodino antitrust clearance.
For QA directors and regulatory leads inheriting a near-approval biologic, the asset's regulatory footing is unusually well-defined. The FDA confirmed in a Type B interaction that the 52-week estimated glomerular filtration rate slope from the registrational Phase 1/2 STAAR study (NCT04046224) is sufficient as the primary basis for accelerated approval, eliminating the need for an additional registrational study. The STAAR data, presented at WORLDSymposium in February 2026, showed a positive mean annualized eGFR slope of 1.965 mL/min/1.73m² per year across all dosed patients, with improvements observed regardless of sex, prior enzyme replacement therapy use, Fabry disease type, or baseline kidney impairment.
The safety profile reduces one layer of post-acquisition risk. Across STAAR, adverse events were predominantly grade 1 or 2, no withdrawals occurred, no deaths were reported on study, and no patients required steroid intervention for liver enzyme elevations following gene transfer, a meaningful data point for teams evaluating immunogenicity management protocols under 21 CFR Part 600 biologics requirements.
ST-920 is administered as a single intravenous infusion without lymphodepleting preconditioning, a manufacturing and clinical logistics consideration that distinguishes it from more complex cell and gene therapy protocols requiring conditioning regimens. PTC's CEO Matthew Klein indicated on an investor call that existing infrastructure is expected to accommodate the asset, though the specifics of CMC transfer, batch record alignment, and any required comparability studies under the inherited BLA dossier will define the near-term workload for PTC's technical operations teams.
In the same auction, Eli Lilly separately acquired Sangamo's capsid delivery, zinc finger, and modular integrase platform technologies along with prion disease program ST-506 for $50 million, bringing total cash consideration from the bankruptcy estate to approximately $163.55 million at closing. The Lilly transaction is anticipated to close on or about September 4, 2026.
The Delaware court sale hearing timeline in Q3 2026 sets the near-term regulatory checkpoint against which PTC's BLA transition planning will be measured.
